Introduction

Total Life Longevity LLC, and its affiliates and subsidiaries ("Total Life," "Total Life Longevity," "we," or "us") owns and operates websites located at www.totallife.ai, wellness.totallife.com, daily.totallife.com, wellnesstotallife.com, and www.lily-totallife.com (the "Websites") and/or other applications (collectively, the "Platform" or "Wellness Platform"). Your access and use of the Platform, any part thereof, or anything associated therewith, including its content ("Content"), any products, memberships, or additional services provided through the Platform or otherwise by Total Life, and any affiliated website, software or application owned or operated by Total Life (collectively, including the Platform and the Content, the "Service" or "Services") are subject to these Terms of Use unless specifically stated otherwise.

BY ACCESSING THE SITE OR USING OUR SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE LEGALLY BOUND AND COMPLY WITH THESE TERMS OF USE. IF YOU DO NOT OR CANNOT AGREE WITH ANY PART OF THESE TERMS OF USE, YOU MAY NOT USE THE SERVICES.

These terms and conditions of use ("Terms of Use" or "Terms") describe your rights and responsibilities with regard to the Services. Your access to and use of the Services is subject to these Terms of Use, our Privacy Policy, other additional policies as referenced and hereby incorporated into these Terms of Use, as well as all applicable laws and regulations.

Services Overview, Availability, and Eligibility

Total Life Longevity offers a technology Platform that allows users to connect and engage with Wellness Affiliates, other Members, and to participate in on-line and in-person wellness programs ("Wellness Offerings"). Our Wellness Offerings may include, but are not limited to classes, coaching, recordings, events, activities, and guided programming about: (i) nutrition, diet, and general health, (ii) yoga and other physical fitness or wellness, (iii) meditation and breathwork, (iv) social and recreational topics, (v) personal organizational tools, (vi) lifestyle, (vii) group sharing through open mic or virtual gatherings, and (viii) lifestyle and wellness products, such as vitamins, supplements, and other wellness related equipment or apparel. Total Life Longevity may use artificial intelligence ("AI") and automated systems to deliver certain aspects of the Services. These tools are designed for wellness education, engagement, and habit support only and do not diagnose, treat, or substitute for a licensed professional's advice.

Availability. Total Life is based in the United States and provides its Services only for use by those located in the U.S. If you access the Services from outside the U.S., you do so at your own risk and are responsible for complying with local laws.

Eligibility. Our Services are for individuals 18 years or older, and by using the Services, you represent and warrant the following: (i) you are 18 or older, (ii) you are located in a state where we operate, depending on the Services, and (iii) you agree to comply with these Terms of Use and our other Policies incorporated into these Terms.

Not Medical Advice; Your Relationship with Total Life

Total Life Longevity is not a medical group and does not provide medical advice, care, and/or treatment. You should always consult your physician or healthcare provider when implementing any changes or alterations to your lifestyle and wellness routines as provided through the Platform. Total Life Longevity LLC operates independently from any affiliated entities that provide clinical or therapeutic services. Participation in any class, webinar, or digital program on this Platform does not create a patient-provider relationship, nor does it constitute psychotherapy or any form of medical care.

Should you later choose to receive therapy or medical services from an affiliated entity (such as Total Life Inc. or its clinical affiliates), you will be required to opt-in to a separate HIPAA-covered environment governed by distinct Terms of Use and Privacy Policies applicable to clinical care. Information contained or provided through the Platform and Services is informational only.

OUR SERVICES ARE NOT INTENDED TO BE, NOR IN ANY WAY BE CONSIDERED A SUBSTITUTE FOR RECEIPT OF QUALIFIED MEDICAL CARE, QUALIFIED MEDICAL ADVICE, AND/OR A DETAILED DISCUSSION WITH YOUR OWN QUALIFIED HEALTHCARE PROFESSIONAL. IF YOU ARE CONCERNED THAT YOU MAY BE EXPERIENCING A MEDICAL EMERGENCY, PLEASE DIAL 911 IMMEDIATELY OR GO TO YOUR NEAREST EMERGENCY DEPARTMENT.

Privacy

Total Life understands the importance of privacy and confidentiality regarding your personal information. Please see our Privacy Policy for information about how we collect and use your personal information. Our Privacy Policy is hereby incorporated into these Terms of Use by reference and constitutes a part of these Terms of Use. If you are a resident of Washington, Nevada, or Connecticut, please also see our Consumer Health Data Privacy Policy, which is likewise incorporated into these Terms of Use by reference.

Membership & Payments

Total Life provides the Wellness Offerings through its membership offerings and is subject to the Membership Terms and other policies, including this Terms of Use. Total Life may also provide wellness products and services available to purchase and receive without a required membership, in its sole discretion.

Membership Terms, Automatic Renewal. Total Life users may access certain Wellness Offerings, Coaching, and other Services with a monthly or annual subscription to the Platform. Memberships renew automatically and are detailed in our Longevity Membership Terms, which are hereby incorporated into this Terms of Use.

Payment. You agree to pay all fees and charges associated with your Account and provision of the Services on a timely basis. By providing us with payment information, you represent and warrant to us that you are authorized to make purchases with the payment method provided, and that you expressly authorize us to bill and charge your credit card or other payment method for the Services consistent with providing the Services and Wellness Membership Terms.

Account Registration, Security, and Termination

While some parts of the Services are accessible without an account, you may need to create an Account in order to access specific features and functions of Services provided by Total Life and our wellness affiliates.

• Account Enrollment. In order to access Services, you agree and acknowledge that you are at least eighteen (18) years old, and that you will provide us with private information about you. After Total Life receives, or saves your payment for use of the Services, we will ask you to create an account if purchasing a membership, or we may create an Account for you.
• Account Security. You are responsible for maintaining the confidentiality of your account, its passwords, and any other private information used to verify your account, and you agree to log out after every session. You agree to immediately notify us of any unauthorized use or any other breach of security of your Account by contacting us at wellness@totallife.com.
• Account Termination. We may suspend or terminate your account and your access to the Services if you do not keep your account up-to-date or for misuse or violation of any of these Terms of Use. You may request to terminate your Account at any time by contacting us at wellness@totallife.com, or by calling us at 800-567-5433.

Electronic Communication, Emails, Text Messages, and Phone Calls

Total Life Longevity uses various methods of telephone and electronic communications to provide you with the Services. When you use the Site to submit information or otherwise agree to receive Services through Total Life Longevity, you are agreeing to our use of email, phone calls, and text messages to receive some, or all, of the Services.

• Electronic Notices & Email Communication. During enrollment, or through your use of the Services, you agree that we can send you any privacy or other notices, disclosures, consents, or communications regarding enrollment in the Services through electronic means. You agree that all agreements, notices, disclosures and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.
• Security of Electronic Communications. Even though we take steps to protect the privacy and security of your information and communications, you understand that sending any information through the internet and mobile carriers cannot be 100% secure. Text messages and emails that you send to, or receive from, us are not encrypted.
• Text Message Program. Eligible Total Life Longevity users over the age of 18 may opt-in to participate in Total Life Longevity's Text Message Program. You may opt-out of any Total Life Longevity text messages at any time by replying "STOP" to the message received. You may also opt-out by contacting us at wellness@totallife.com. TEXT MESSAGE SERVICES MAY NOT BE USED TO REPORT A MEDICAL EMERGENCY.

Emergency Contact Information

You agree to provide emergency contact information (name and phone number) for yourself or a close family member to Total Life, to be used in case of a mental health crisis or other emergency where your location is important. You also agree to obtain their consent before sharing their contact information with Total Life.

Ownership & License to Use the Services

Ownership of Services. You acknowledge and agree that Total Life Longevity exclusively owns all rights to the Services and their content, features, and functionality ("Services Content"). You may not reproduce, modify, distribute, sell, disassemble, reverse engineer, or exploit, in any way, in whole or in part, any of the Services or Services Content except as permitted by these Terms, or with our express written consent.

Limited License. Subject to your agreement and compliance with these Terms of Use, we grant you a personal, limited, revocable, non-exclusive, and non-transferable right to view, download, access, and use the Services and Services Content solely for personal, non-commercial purposes as permitted by these Terms of Use. No other rights to the Services or Services Content are transferred to you, and we and our affiliates reserve all rights not explicitly granted.

Restrictions of Use

You agree that in using or accessing the Services, you will not attempt to:

• Impersonate any person or entity, or otherwise misrepresent your affiliation with a person or entity.
• Use the Services to violate any local, state, national or international law.
• Reverse engineer, disassemble, decompile, or translate any software or other components of the Services.
• Engage in any potentially harmful acts directed against the Services, including but not limited to violating any security features, introducing viruses, worms, or similar harmful code, or interfering with use of the Services by any other user.
• Submit false, fraudulent, or offensive information.
• Post any User Content that violates any third-party right or any intellectual property or proprietary right; that is unlawful, harassing, abusive, tortious, threatening, or harmful; or that is harmful to minors in any way.
• Access the Services while driving or while under the influence of drugs, alcohol, or other illicit substances.
• Send through the Services unsolicited or unauthorized advertising, promotional materials, junk mail, spam, chain letters, or pyramid schemes.
• Harm, harass, threaten, abuse, defame, demean, discriminate against, or intimidate any Total Life employee, agent or affiliate.
• Remove, alter, or obscure any intellectual property or proprietary rights notices, trademarks, logos, or other content from the Services.
• Bypass, breach, avoid, remove, deactivate, impair, descramble, or otherwise circumvent any security device, protection, or technological measure implemented by Total Life.

Community Standards & Moderation. You agree to engage respectfully with other users during online classes, forums, or live sessions. We reserve the right to monitor, record, or remove any content or participant for conduct deemed inappropriate, harassing, or in violation of community standards. Repeated violations may result in suspension or permanent removal.

User Content

Except as provided in our Privacy Policy or by certain privacy laws and regulations, you understand and agree that any information, data, text, software, photographs, graphics, video, messages, feedback, suggestions, and other materials you provide through any use of Services or participation in our online communities ("User Content") will be treated as non-confidential and non-proprietary, will become the property of Total Life and may be used as outlined in our Privacy Policy as personal information.

YOU ARE SOLELY RESPONSIBLE FOR ALL OF YOUR OWN USER CONTENT. When you create and share User Content about yourself in our online community, including but not limited to, what may be considered sensitive personal information, you understand that your User Content is public to other Users and may not be afforded additional protection by applicable law.

Third Party Links

Our Services may contain links to third-party websites and services, and/or display advertisements for third-parties. Such Third-Party Links are not under Total Life's control, and we are not responsible for any Third-Party Links. Total Life provides access to these Third-Party Links only as a convenience to you, and does not review, approve, monitor, endorse, warrant, or make any representations with respect to Third-Party Links. You use all Third-Party Links at your own risk, and when you click on any of the Third-Party Links, the applicable third party's terms and policies apply.

Terms of Sale

All products, memberships, and services offered for sale by Total Life Longevity are subject to availability and Total Life or its affiliated parties reserve the right to impose quantity limits on any order or reject all or any part of an order without prior notice. Prices for products are subject to change at any time. You are responsible for any applicable sales, use, duty, customs or other governmental taxes, levies or fees due with respect to your purchase of products or services through our Service.

Only valid payment methods acceptable to us may be used to complete a purchase via the Service. You represent and warrant that you are authorized to use your designated payment method. You authorize us to charge your designated payment method for the total amount of your order (including any applicable taxes and shipping and handling charges).

All credit card, debit card and other monetary transactions on or through the Service occur through an online payment processing application provided by Stripe. Additional information about Stripe, its privacy policy and its information security measures should be available on the Stripe website located at https://stripe.com/privacy.

Changes to the Terms of Use and the Services

We are consistently updating and developing our Terms of Use, and at any time, we reserve the right to review or remove any part of these Terms of Use in our sole discretion without prior notice to you. All changes to these Terms of Use are effective upon posting to the Site unless applicable law requires us to provide additional notice or take other actions before such changes can become effective. If you disagree with these Terms of Use, your sole and exclusive remedy is to discontinue your use of the Services.

Disclaimer of Warranties

YOU EXPRESSLY AGREE THAT USE OF THE SERVICES IS AT YOUR SOLE RISK. YOU ACKNOWLEDGE AND AGREE THAT TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TOTAL LIFE AND ITS AFFILIATES MAKE NO REPRESENTATIONS OR WARRANTIES AND EXPRESSLY DISCLAIM ANY AND ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, WITH RESPECT TO THE SERVICES INCLUDING, BUT NOT LIMITED TO, ANY REPRESENTATIONS OR WARRANTIES WITH RESPECT TO MERCHANTABILITY, FITNESS FOR A PARTICULAR USE OR PURPOSE, NONINFRINGEMENT, TITLE, AVAILABILITY, SECURITY, OPERABILITY, CONDITION, VALUE, ACCURACY OF DATA, FREEDOM FROM VIRUSES OR MALWARE, COMPLETENESS, TIMELINESS, FUNCTIONALITY, OR RELIABILITY. WE MAKE NO WARRANTIES OR REPRESENTATIONS THAT YOUR USE OF THE SERVICES WILL NOT INFRINGE THE RIGHTS OF THIRD PARTIES.

Limitation of Liability

YOU UNDERSTAND THAT TO THE FULLEST EXTENT PERMITTED UNDER APPLICABLE LAW, IN NO EVENT SHALL TOTAL LIFE INC, TOTAL LIFE LONGEVITY, AND OUR RELATED PARTIES, OR ANY OF THE RESPECTIVE SHAREHOLDERS, OFFICERS, EMPLOYEES, DIRECTORS, PARENTS, SUBSIDIARIES, AFFILIATES, AGENTS OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING, BUT NOT LIMITED TO, PERSONAL INJURY/WRONGFUL DEATH, DAMAGES FOR LOSS OF REVENUES, PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE THE SERVICES. TO THE FULLEST EXTENT PERMITTED BY LAW, TOTAL LIFE SHALL BE LIABLE ONLY TO THE EXTENT OF ACTUAL DAMAGES INCURRED BY YOU, NOT TO EXCEED U.S. $100. ALL CLAIMS ARISING IN CONNECTION WITH YOUR USE OF THE SERVICES OR CONTENT MUST BE BROUGHT WITHIN ONE (1) YEAR OF THE DATE OF THE EVENT GIVING RISE TO SUCH ACTION.

Indemnification

To the fullest extent permitted by law, you will indemnify and hold Total Life Longevity LLC, and its "Affiliated Persons" harmless from and against any and all third-party actions, suits, damages, losses, costs, liabilities and expenses (including reasonable attorneys' fees) relating to or arising out of: (a) your violation or breach of the Terms; (b) your User Content; (c) your violation of any rights of another party, including any users of the Services; or (d) your violation of any applicable laws, rules, and regulations. Total Life reserves the right, at its own cost, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you.

Dispute Resolution and Arbitration

YOU AND WE EXPRESSLY AGREE THAT ANY LEGAL CLAIM, DISPUTE OR OTHER CONTROVERSY BETWEEN YOU AND US ARISING OUT OF OR OTHERWISE RELATING IN ANY WAY TO THE TOTAL LIFE LONGEVITY PARTIES, THE PLATFORM, THE CONTENT OR THE SERVICE THAT IS NOT RESOLVED BY AN INFORMAL DISPUTE RESOLUTION CONFERENCE, SHALL BE RESOLVED IN CONFIDENTIAL BINDING ARBITRATION CONDUCTED BEFORE ONE COMMERCIAL ARBITRATOR FROM THE AMERICAN ARBITRATION ASSOCIATION ("AAA"), RATHER THAN IN A COURT. YOU ACKNOWLEDGE THAT YOU ARE VOLUNTARILY AND KNOWINGLY FORFEITING YOUR RIGHT TO A TRIAL BY JURY.

In the event a Dispute arises between us, we are committed to working with you to reach a reasonable resolution. Before either party commences arbitration, we will personally meet and confer telephonically or via videoconference, in a good faith effort to resolve informally any Dispute covered by this Arbitration Agreement. The party initiating a Dispute must give notice to the other party in writing of its intent to initiate an Informal Dispute Resolution Conference, which shall occur within forty-five (45) days after the other party receives such Notice.

Notice to us that you intend to initiate an Informal Dispute Resolution Conference should be sent by email to wellness@totallife.com or regular mail to: Total Life, 110 Front Street, Suite 300, Jupiter, Florida 33477.

If you and we are unable to resolve a Dispute within thirty (30) days after the applicable Informal Dispute Resolution Conference, either party may commence arbitration before the AAA. The arbitration shall be conducted in Palm Beach County, Florida. The arbitrator's award shall be final and binding on all parties and may be entered as a judgment in any court of competent jurisdiction. YOU AND WE AGREE THAT, EXCEPT AS SPECIFIED HEREIN, ALL DISPUTES SUBJECT TO ARBITRATION UNDER THIS AGREEMENT MUST BE ARBITRATED ON AN INDIVIDUAL BASIS AND NOT ON A CLASS, COLLECTIVE OR REPRESENTATIVE BASIS. NO PARTY MAY BRING ANY CLAIM SUBJECT TO ARBITRATION PURSUANT TO THIS AGREEMENT AS A PRIVATE ATTORNEY GENERAL, IN A REPRESENTATIVE CAPACITY, OR AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS PROCEEDING.

You can opt out of the provisions of this Arbitration agreement within thirty (30) days of the date that you first agree to any version of this Agreement that requires arbitration of disputes with Total Life. To opt out, you must send your name, residence address, and email address together with a clear statement that you want to opt out of the requirement to arbitrate disputes to: Total Life, ATTN: Arbitration Opt-Out, 110 Front Street, Suite 300, Jupiter, Florida 33477.

Miscellaneous Terms

• Governing Law. The Terms, your use of the Services, and any action related thereto shall be governed by and construed in accordance with the laws of the State of Florida consistent with the Federal Arbitration Act, without regard to the choice of law provisions of any jurisdiction.
• Assignment. The Terms, and your rights and obligations hereunder, may not be assigned, subcontracted, delegated or otherwise transferred by you without Total Life's prior written consent.
• Amendment. Except as described in the section entitled Changes to the Terms of Use and Services, these Terms may not be amended unless in writing and signed by both Parties.
• Entire Agreement and Severability. These Terms, together with any amendments and any additional agreements or consents you may have entered with us in connection with the Services, constitute the entire agreement between you and us concerning the Services. If any portion of these Terms is held invalid or unenforceable, that portion will be construed in a manner to reflect the original intention of the parties, and the remaining portions will remain in full force and effect.

Copyright Policy

Total Life respects the intellectual property of others and asks that Users of our Services do the same. If you believe that your work has been duplicated in a way that constitutes copyright or other intellectual property infringement, please provide written notification to our designated agent:

Your written notification must include: your physical or electronic signature; identification of the copyrighted work(s) alleged to have been infringed; identification of the material on our services claimed to be infringing; sufficient information to permit us to locate such material; your address, telephone number, and e-mail address; a statement of good faith belief that use of the material is not authorized by the copyright owner; and a statement that the information in the notification is accurate, under penalty of perjury.
